Terms of Service

1.Definitions

In these Terms the following words have the meanings given below.

• "Service" means the website, the iPhone app and the related features that the Operator provides under the name Fluent.
• "Account" means the email address and other credentials a User registers to use the Service, together with the user data linked to them.
• "Pro plan" means the paid, monthly-billed plan of the Service.
• "User Content" means the audio files, recordings, text, vocabulary entries and other information a User uploads to or creates on the Service.
• "AI processing" means processing by machine-learning models, such as transcription, the evaluation of pronunciation, rhythm and intonation, and the generation of coach comments, translations and word meanings.

2.Scope

These Terms apply to every aspect of the relationship between the User and the Operator concerning the use of the Service.

Guides, the help page, the Privacy Policy and any other rules the Operator publishes on the Service (the "Additional Rules") form part of these Terms. If the Additional Rules conflict with these Terms, the Additional Rules take precedence.

3.Accounts

Users register and manage their Account under the following conditions.

• Provide true and accurate information when registering, and update it promptly when it changes.
• Minors may use the Service only with the consent of a parent or legal guardian. When a minor uses the Service, the Operator assumes that such consent has been given.
• One Account per person. Accounts may not be shared, transferred, lent or sold.
• Keep your password, sign-in links and other credentials secure. Anything done with your credentials is treated as done by you.
• If you notice that your credentials have leaked or been misused, change your password immediately and contact the Operator.

4.The Service

The Service provides the features below. Their details and names may change without notice.

• Creating shadowing materials from your own audio: cut a region, transcribe it with AI and practise it.
• Preset materials prepared by the Operator (dialogues and monologues in several accents).
• Recording yourself over the model audio and having the AI analyse pronunciation, rhythm and intonation into scores and coach comments.
• A vocabulary list that generates meanings and example sentences for saved words and phrases, Japanese translations, and a practice history.
• Use of the same Account through the iPhone app (beta).

5.Fees and payment

The Pro plan costs ¥1,980 per month (tax included). Continuing to use the Pro plan after the free trial requires a paid subscription.

Payments are made by credit card through Stripe, the payment provider used by the Operator. Stripe handles card details; the Operator never stores card numbers.

Unless you cancel, the Pro plan renews automatically every month and the fee is charged to the registered credit card.

The Operator may change the fees. Any change will be announced on the Service or by email to the registered address at least 30 days before it takes effect, and applies from the first renewal date after that notice.

If a payment fails, the Operator may suspend or restrict the Pro plan features.

6.Free trial

Newly registered Users can use the Pro plan features free of charge for 14 days from the date of registration. No credit card is required.

The free trial is limited to one per person. Creating several Accounts to repeat the trial is not allowed.

When the trial ends, some features such as creating materials and AI analysis become unavailable until you subscribe to the Pro plan. Billing never starts automatically at the end of the trial.

Coupons and campaigns may come with a different trial length or different conditions; in that case the conditions of the coupon or campaign apply.

7.Cancellation and refunds

You can cancel the Pro plan at any time from "Plan & billing" in the app, which opens the Stripe customer portal.

After cancelling, the Pro plan features remain available until the end of the paid period. The Pro plan then ends and no further charges are made.

Because the Service is a digital service, no pro-rated or other refund is given for the remainder of a period when you cancel part-way through it.

8.User Content

Rights in the audio you upload, your recordings and other User Content stay with you (or the rightful owner). The Operator does not acquire any rights in User Content.

You grant the Operator permission to store, copy and convert User Content, and to send it to the external providers the Operator uses for AI processing (transcription, pronunciation analysis, translation and the generation of word meanings), to the extent needed to provide and improve the Service.

Do not upload audio that infringes the copyright, likeness rights, privacy or other rights of third parties. Use copyrighted audio (podcasts, the sound track of videos and so on) only for your own private study, and do not distribute or publish the materials you make from it.

User Content is stored in your own Account only and is never shown to other Users. The Operator does not look at User Content except where the law requires it, where it is necessary to verify a breach of these Terms, or when you ask for support.

The Operator may remove User Content without prior notice if it judges that the content breaches, or is likely to breach, these Terms.

9.Prohibited conduct

When using the Service you must not do any of the following.

• Break the law or public order, or act in connection with a crime.
• Infringe the intellectual property, likeness rights, privacy, reputation or other rights of other Users or third parties.
• Gain unauthorised access to the Service's servers or network, place an excessive load on them, or send large numbers of automated requests.
• Decompile, disassemble or reverse-engineer the Service's software, or attempt to analyse its source code.
• Share an Account with other people, impersonate someone else, or create several Accounts to repeat the free trial.
• Redistribute, sell or publish preset materials, their audio, or the comments, translations and meanings generated by the AI outside the Service.
• Interfere with the operation of the Service, or do anything else the Operator reasonably considers inappropriate.

10.Intellectual property

The copyright, trademarks and other intellectual property rights in the software, design, text, logos, preset materials (including their scripts, audio and translations) and other content that make up the Service belong to the Operator or to the third parties that license them to the Operator.

You may use this content for your own study only to the extent allowed by these Terms. Except as expressly permitted here, no intellectual property right is transferred or licensed to you.

11.Changes, interruption and termination of the Service

The Operator may add to or change the contents and features of the Service without prior notice to Users.

The Operator may temporarily suspend all or part of the Service without prior notice in any of the following cases.

• Maintenance, inspection or updates of the systems behind the Service.
• Force majeure such as earthquakes, power failures or fire that makes providing the Service difficult.
• Failures at external services the Service relies on, such as Supabase, Vercel, Stripe or the providers of the AI models.
• Any other case in which the Operator judges that providing the Service is difficult.

The Operator may discontinue the Service. As a rule, this will be announced on the Service or by email to the registered address at least 30 days before the closing date.

Apart from the refund described in section 7 (Cancellation and refunds), the Operator is not liable for damage Users suffer because of a change, suspension or termination under this section.

12.Disclaimer and limitation of liability

The Service supports your study. The Operator does not guarantee that using it will improve your English or pronunciation, or that you will pass a particular exam or reach a particular goal.

Scores, coach comments, transcriptions, translations, word meanings and other results of AI processing are estimates produced by machine-learning models. Their accuracy, completeness and usefulness are not guaranteed; treat them as reference information.

The Operator is not liable for damage caused by failures or changes at the external services the Service relies on (hosting, database, payments, AI models and so on), except where the Operator acted intentionally or with gross negligence.

For damage suffered by a User in connection with the Service for reasons attributable to the Operator, the Operator is not liable for lost profits or for indirect, special or consequential damage, and its liability for ordinary direct damage is limited to the fees the User paid to the Operator for the one month immediately preceding the month in which the damage occurred, except where the Operator acted intentionally or with gross negligence.

Where the Consumer Contract Act of Japan or another law does not permit an exclusion or limitation in this section, that exclusion or limitation applies only to the extent the law allows.

13.Changes to these Terms

The Operator may change these Terms without the individual consent of Users, in accordance with the Civil Code of Japan, when it judges this necessary.

Changes are announced on the Service or by email to the registered address, together with the new text and its effective date, at least 14 days before they take effect. For significant changes that are unfavourable to Users, the Operator aims to give a longer notice period.

If you use the Service on or after the effective date, you are deemed to have accepted the changed Terms.

14.Governing law and jurisdiction

These Terms and the use of the Service are governed by the laws of Japan.

Any dispute between a User and the Operator concerning the Service is subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
